Terms of Service.

1. About these terms.

This website at steadbook.com (the "Site") is operated by Steadbook Advisory LLP (UEN T18LL0198K), a limited liability partnership registered in Singapore ("Steadbook", "we", "us"). By accessing or using the Site, you ("you") agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site.

2. Scope.

These Terms cover only your use of the Site. They do not, by themselves, create a client relationship between you and Steadbook, and they do not commit Steadbook to provide any services. Where you engage Steadbook to provide professional services, the terms of that engagement are set out in a separate engagement letter, which prevails over these Terms.

3. Information on the Site is general only.

Content on the Site — including descriptions of our services, sector commentary, articles, and reference material — is provided for general information. It is not professional advice. It does not take into account your specific facts, circumstances, or jurisdiction, and you should not act on it without obtaining tailored advice from a qualified professional. Reading the Site, downloading content, or sending a message through the Site does not create a client relationship with Steadbook.

4. No reliance and limitation of liability.

To the maximum extent permitted by law, Steadbook, its partners, employees, and contractors:

• Make no warranties, express or implied, about the accuracy, completeness, currency, or fitness for purpose of any information on the Site;
• Accept no liability for any loss, cost, or damage (including consequential or indirect loss) arising from any use of, or reliance on, the Site or any content on it; and
• Are not liable for any temporary unavailability, error, virus, or other technical issue affecting the Site.

Nothing in these Terms limits any liability that cannot lawfully be limited under Singapore law.

5. Intellectual property.

All content on the Site — including text, graphics, layout, logos, marks, and source code — is owned by Steadbook or licensed to us, and is protected by copyright, trade mark, and other intellectual property laws. You may view and print pages from the Site for your personal, non-commercial reference. Any other use — including reproducing, republishing, distributing, modifying, or using our marks or content commercially — requires our prior written consent.

The "Steadbook" name, the diamond mark, and the wordmark used on the Site are trade marks of Steadbook Advisory LLP.

6. Acceptable use.

When using the Site, you agree not to:

• Use the Site in a way that breaches any applicable law or regulation;
• Submit content through any form on the Site that is unlawful, defamatory, fraudulent, infringing, or that contains personal data of a third party which you are not authorised to share;
• Attempt to gain unauthorised access to the Site, related systems, or any account or data;
• Introduce viruses, trojans, worms, or other malicious code;
• Use the Site or any data scraped from it to train artificial intelligence models, or for any other automated extraction, without our prior written consent.

7. Submissions through forms.

If you submit information through a contact or enquiry form, the information is handled in accordance with our Privacy Policy and PDPA Notice. Submitting an enquiry does not, by itself, create a client engagement. We will respond to enquiries we are able to assist with; we may decline to take on any engagement at our discretion, including for conflict, capacity, regulatory, or risk reasons.

8. Third-party links and tools.

The Site may link to third-party websites, services, or tools. Those resources are operated by their respective providers under their own terms and privacy policies. We do not endorse, control, or accept responsibility for them.

9. Use of artificial intelligence.

We use AI tools to support the operation of this Site and the delivery of our services, on the terms set out in Section 8 of our PDPA Notice. The Site offers an AI chat assistant ("Adrian") and may offer additional AI features, including a secure Client Portal for authenticated clients. Each AI feature is subject to the relevant notices presented at the point of use and to our PDPA Notice. Our AI features are designed and operated in alignment with Singapore's Model AI Governance Framework for Agentic AI (IMDA, January 2026), with documented bounds on AI capabilities, human accountability for substantive output, whitelisted technical controls, and clear end-user disclosures. AI output is draft information and is not a substitute for professional advice — you are responsible for verifying AI output before relying on it.

10. Indemnity.

You agree to indemnify Steadbook against any loss, cost, claim, or liability arising from your breach of these Terms, your misuse of the Site, or your infringement of any third-party right through your use of the Site.

11. Suspension and changes.

We may suspend, withdraw, or restrict access to the Site, in whole or in part, at any time and without notice. We may also amend these Terms from time to time. The current version, with its effective date, is always available at this URL, and continued use of the Site after a change constitutes acceptance of the updated Terms.

12. Governing law and jurisdiction.

These Terms, and any dispute arising from or in connection with them or the Site, are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, except that we may bring proceedings in any jurisdiction where you are located in order to protect our rights.
